The Trade Registrar has published the form by which companies must declare their UBO’s. The obligation was introduced by Law 129/2019 and applies both to the companies to be registered (upon registration) and to the existing companies (within 12 months from the date of entry into force of the law, respectively from 21.07.2019).
The UBO is any natural person who owns or controls the legal person, respectively:
– Holds more than 25% of shares (votes)
– In case there is no natural person that fulfills the above criterion, the real beneficiary is the natural person who ensures the top management of the company.
The companies will keep the records of the documentation so that they can prove the way in which they identified the UBO’s. At the same time, the companies will update the relevant information, as the case may be.
